Terms of Service

These Terms of Service govern your purchase and use of ReelSkillz products for DaVinci Resolve. Please read them together with our Privacy Policy and Refund Policy.

1.About these Terms

These Terms of Service ("Terms") form an agreement between you and ReelSkillz regarding the licence, installation, activation, use, support, and operation of the ReelSkillz products described below (the "Products"). ReelSkillz is operated by Nov Sovannaroth, trading as ReelSkillz, based in Phnom Penh, Cambodia. You can contact us at studio@reelskillz.com.

By purchasing, creating an account, downloading, installing, activating, or using the Products, you agree to these Terms. For purchases processed through a third-party authorised reseller or Merchant of Record, you may also be subject to that provider's buyer terms for the payment transaction.

2.Eligibility and acceptance

You agree to these Terms by purchasing, creating an account, downloading, installing, activating, or using the Products. You must have the legal capacity to enter into this agreement. If you purchase or use the Products for a company, studio, organisation, or employer, you confirm that you have authority to act for that entity, and "you" includes that entity.

Accepting these Terms does not remove mandatory consumer rights that apply to you, and nothing in these Terms allows ReelSkillz to override consumer protections that cannot lawfully be waived.

3.Products and licence types

The "Products" include, where applicable: the ReelSkillz plugins for DaVinci Resolve; the ReelSkillz Manager application; paid Products; free or Lite Products; beta or pre-release Products; and the updates, documentation, presets, look-related assets, and associated software that ReelSkillz supplies with them. DaVinci Resolve and Blackmagic Design are third-party products, are not owned or controlled by ReelSkillz, and their mention does not imply any endorsement, partnership, or affiliation.

Licence grant

Subject to these Terms and, for paid Products, to your purchase, ReelSkillz grants you a limited, non-exclusive, non-transferable licence to install and use the Product. The Product is licensed, not sold, and ReelSkillz retains ownership of the software and the intellectual property included in it.

What your licence covers

A licence is not revocable at ReelSkillz's unrestricted discretion; suspension or termination may occur only under the conditions described in Section 18 (Suspension and termination).

4.Commercial use and your creative output

A validly licensed customer may use ReelSkillz Products in personal projects, commercial projects, and client projects — including film, television, advertising, documentary, music video, online content, and other lawful creative productions — and in paid professional work.

This licence does not permit you to redistribute the plugin, installer, licence, presets, protected libraries, source code, or other ReelSkillz assets as standalone products.

Your projects and creative output

You retain ownership of your projects, footage, media, timelines, edits, colour grades, renders, exports, client work, and other original creative output. ReelSkillz does not acquire ownership of your projects merely because the Products were used, and does not require a royalty or ownership share in your output. You remain responsible for ensuring you have the necessary rights to footage, music, trademarks, fonts, images, and other third-party material used in your projects. ReelSkillz does not access or inspect your projects or creative content (see our Privacy Policy).

5.Accounts, activation, and licence seats

Activation requirements

Paid Products may require a ReelSkillz account, internet access during initial activation, periodic online licence validation, the ReelSkillz Manager, and a supported operating system and compatible DaVinci Resolve version. Only the requirements that apply to your Product and plan are enforced.

Account responsibility

You are responsible for providing accurate account and purchase information, maintaining access to the email associated with your account, protecting your login credentials, not sharing authentication tokens or licence credentials or account access, and promptly notifying us of suspected unauthorised account use. We may require reasonable identity or purchase verification before changing an account email, transferring account access where permitted, resetting licence seats, or processing sensitive requests. You are not responsible for a security incident caused solely by ReelSkillz's own failure to use reasonable security measures.

6.Restrictions

You agree that you will not:

You may not reverse engineer, decompile, or disassemble the Products, except to the limited extent that applicable law expressly permits despite this restriction. You may not copy ReelSkillz source code, protected assets, confidential implementation details, trade secrets, or distinctive protected elements to create or assist in creating a competing product. These restrictions do not prohibit lawful independent development, general learning, interoperability work, security research, comparison, or benchmarking where those activities cannot lawfully be restricted.

7.Licence security and acceptable use

As described in our Privacy Policy, ReelSkillz may use limited account, licence, activation, transaction, support, and integrity records to enforce licence-seat limits, detect unauthorised sharing, investigate tampering, prevent fraudulent purchases, review refund abuse, respond to chargebacks and payment disputes, and protect legitimate customers and ReelSkillz.

8.Orders, prices, taxes, and payment providers

Paddle is our primary global checkout and commerce provider. For orders processed through Paddle, Paddle.com acts as the Merchant of Record and authorised reseller: you purchase the Product through Paddle, while ReelSkillz remains the licensor and provider of the Product and product-related support. ReelSkillz may also offer other supported third-party payment providers or payment channels. The applicable provider is identified during checkout, in the payment confirmation, receipt, or transaction record.

Depending on the transaction, a provider may act as a payment processor, authorised reseller, independent merchant, bank, wallet operator, or Merchant of Record; not every provider is a Merchant of Record. Payment-provider terms, privacy notices, fees, currency conversion, verification requirements, and processing procedures may apply separately to your transaction.

Paddle transactions

For purchases processed through Paddle, Paddle handles the payment transaction, applicable tax collection, receipts, and payment-related order support, while ReelSkillz handles Product installation, compatibility, licence, and technical support. The payment descriptor may identify Paddle or another descriptor disclosed during checkout or on your receipt; we cannot guarantee the exact wording shown on every bank statement. Your Paddle purchase is also subject to Paddle's Buyer Terms and Refund Policy, and Paddle's handling of your data is covered by the Paddle Privacy Notice.

Prices, taxes, and order information

9.Subscriptions, where applicable

ReelSkillz Products are generally offered as one-time purchases. Where a subscription Product is offered, the following apply and are shown before purchase:

Where ReelSkillz does not currently offer a subscription for a given Product, this section does not create one.

10.Refunds, reversals, and payment disputes

Paid Products are subject to the ReelSkillz Refund Policy. ReelSkillz provides a voluntary 14-day period during which you may submit a refund request. Submitting a request does not guarantee approval. Eligibility is reviewed individually based on the purchase, product access and activation, technical circumstances, usage, refund history, suspected abuse, the applicable payment provider, and mandatory consumer law.

Refunds, fraud, and chargebacks

A normal refund request is different from a chargeback or payment dispute. Please contact ReelSkillz, or the applicable payment provider, first for a normal refund request. Suspected fraud, unauthorised payments, chargebacks, and payment disputes may be handled by the applicable provider, bank, card issuer, wallet, or payment network. ReelSkillz may temporarily suspend the related paid licence while a payment dispute or suspected fraud is investigated, and a licence may be deactivated if payment is refunded, reversed, cancelled, determined to be fraudulent, or successfully charged back. A temporary suspension does not automatically mean you committed fraud, and ReelSkillz may restore access if the dispute is resolved in your favour and payment remains valid.

11.Free, Lite, and Beta Products

Your mandatory legal rights are not excluded by this section.

12.Updates, compatibility, and discontinuation

ReelSkillz will not intentionally disable a valid perpetual licence merely because Paddle or another payment provider is no longer used. Discontinuing a payment provider does not cancel valid licences already purchased, unless the licence was separately refunded, reversed, fraudulent, expired, or terminated for breach.

Product discontinuation

ReelSkillz may discontinue a Product or version. Existing valid licence rights will be respected according to the licence type and applicable law. Online activation, downloads, compatibility updates, or support may not be available indefinitely unless expressly promised, and ReelSkillz does not promise lifetime support, lifetime server availability, or compatibility with future third-party systems unless expressly sold as such. Where practical, reasonable notice should be provided for material discontinuation. Discontinuation does not remove mandatory consumer remedies for an existing legal defect.

13.Intellectual property

The Products — including the Product code, user interface, branding, documentation, protected presets, look assets, graphics, trademarks, and original libraries and other included ReelSkillz material — are and remain the exclusive property of ReelSkillz and its licensors. These Terms grant a licence to use the Products; they do not transfer ownership to you.

Third-party components remain owned by their respective licensors and may be governed by separate open-source or third-party licence notices. ReelSkillz does not claim ownership of your footage, project files, timelines, grades, exports, client work, or independently created creative output.

14.Privacy

ReelSkillz processes personal data in accordance with our Privacy Policy. Limited account, device, licence, activation, order, support, refund, security, and integrity records may be used, where actually implemented, to operate licences, provide support, review refund requests, prevent abuse, and respond to disputes. ReelSkillz does not intentionally access your footage, projects, timelines, exports, or unrelated personal files. Third-party payment providers process payment data under their own privacy notices. Please see the Privacy Policy for full details.

15.Customer responsibilities

To get the best results and protect your work, you should:

This section does not reduce ReelSkillz's responsibility for a Product that is faulty or materially not as described.

16.Warranty disclaimer

To the maximum extent permitted by law, the Products are provided "as is" and "as available". ReelSkillz does not guarantee uninterrupted availability, error-free operation, compatibility with every hardware or software configuration, a particular creative, commercial, financial, or artistic result, or continued compatibility with every future DaVinci Resolve or operating-system release.

Nothing in this section excludes or limits mandatory consumer warranties, product-conformity requirements, rights relating to faulty or materially misdescribed Products, or any warranty or liability that cannot lawfully be excluded. This disclaimer does not mean that paying customers have no legal remedy.

17.Limitation of liability

To the maximum extent permitted by applicable law, ReelSkillz is not liable for any indirect, incidental, special, punitive, or consequential loss, and is not responsible for avoidable loss caused by a failure to maintain reasonable backups or to verify production output. Any financial liability cap applies only where legally permitted; where permitted, ReelSkillz's total aggregate liability for a claim shall not exceed the amount you paid for the Product giving rise to the claim.

Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded, including, where applicable, for fraud or fraudulent misrepresentation, wilful misconduct, gross negligence that cannot be limited, death or personal injury caused by negligence, mandatory consumer remedies, or other liability that cannot legally be excluded. Where applicable law requires a different remedy, the paid-product liability cap above does not apply to that remedy.

18.Suspension and termination

ReelSkillz may temporarily suspend or terminate access where there is reasonable evidence of: a material breach of these Terms; licence sharing or resale; excessive unauthorised activations; tampering or licence circumvention; fraudulent payment; refund or chargeback completion; a serious security risk; unlawful use; or a legal or payment-provider requirement.

Where reasonably possible, ReelSkillz should notify you, explain the general reason, and give you a reasonable opportunity to correct a remediable breach. Immediate action may be taken where notice would create a security risk, interfere with a fraud investigation, violate law, or expose ReelSkillz, payment providers, or customers to material harm.

19.Governing law and disputes

These Terms are governed by the laws of the Kingdom of Cambodia, except where mandatory laws in your country of residence require otherwise.

20.Changes to these Terms

Continued use of the Products does not override non-waivable consumer rights.

Contact us at studio@reelskillz.com. We aim to acknowledge support enquiries within one business day. We cannot promise that every technical, refund, legal, or privacy request will be fully resolved within one business day.
